1. Agreement to these terms
These Terms of Service ("Terms") form a binding agreement between you and Xencus Technologies Private Limited, a private limited company incorporated in India ("Xencus", "we", "us", or "our"). They apply when you visit this website, contact us, create an account on a service we operate, or engage us for work.
By using the website or our services, you accept these Terms. If you do not accept them, please do not use the website or our services.
Where we agree a separate proposal, statement of work, or signed services agreement with you, that document governs the specific engagement and these Terms apply alongside it. If the two conflict on a point, the signed engagement document prevails on that point.
2. Who we are
Xencus Technologies Private Limited is a private limited company incorporated in India, trading as Xencus. We provide managed operations, legal, HR, finance, and technical services to education businesses and professionals, and we build and operate the Authentix certificate platform.
You can reach us about these Terms at info@xencus.com
3. Who may use our services
You must be at least 18 years old to use our services. If you are using them on behalf of an organisation, you confirm that you are authorised to accept these Terms for that organisation, and these Terms bind it.
We may decline to provide services, or to continue providing them, where doing so would breach applicable law or our professional obligations.
4. The services we provide
Depending on what you engage us for, our services include:
- Managed services: operations, legal, human resources, finance, and technical support delivered under a proposal or statement of work that sets out the scope, the deliverables, and the fees.
- Authentix: a platform for generating, issuing, and verifying certificates in bulk, including recipient import, certificate design, QR-based verification, and delivery.
- This website: information about our work, and forms through which you can contact us or request a demonstration.
Authentix is under active development. Features described on this website may change, and some are not yet generally available.
5. Accounts and access
Where a service requires an account, you are responsible for keeping your credentials confidential and for everything done through your account. Tell us promptly if you believe an account has been used without authorisation.
Where your organisation's account has more than one member, the organisation is responsible for the access it grants them and for removing access when it is no longer needed.
6. Your responsibilities
To let us do our work properly, you agree to:
- give us accurate, complete, and current information, and tell us when it changes;
- hold the rights, permissions, and consents needed for the content, data, and materials you give us or upload, including recipient names, email addresses, logos, signatures, and seals;
- use the services only for lawful purposes and in line with the law that applies to you;
- co-operate with reasonable requests for information, approvals, and access that an engagement needs.
Where you upload personal data about other people, such as a roster of certificate recipients, you decide what that data is used for and you remain responsible for having a lawful basis to provide it to us. We process it on your instructions to provide the service.
7. Acceptable use
You must not:
- issue, or use our services to issue, a certificate or credential that is false, misleading, or that states an achievement, qualification, or affiliation that did not happen;
- impersonate another institution, or use a name, logo, seal, or signature you are not authorised to use;
- attempt to gain unauthorised access to the services, another customer's data, or any system or network connected to them;
- probe, scan, or test the security of the services except with our prior written consent;
- reverse engineer, decompile, or copy any part of the services, except to the extent the law expressly permits it;
- scrape, crawl, or bulk-download the website or the services, or interfere with their normal operation;
- use the services to send unlawful, abusive, or unsolicited bulk messages.
Misuse of a certificate platform damages the people who rely on the certificates it produces. We take breaches of this section seriously and may suspend access immediately where we reasonably believe one has occurred.
8. Intellectual property
We own the website, the Authentix platform, and the software, designs, text, and brand features in them, together with any method or component we developed before or outside your engagement. Nothing in these Terms transfers that ownership to you.
You own the content and data you give us. You grant us a limited, non-exclusive licence to host, process, and display it to the extent needed to provide the services you asked for, and to keep backups.
Where an engagement produces deliverables made specifically for you, you receive the rights to them that the proposal or statement of work sets out, on payment of the fees due for that engagement.
9. Confidentiality
Each of us may learn confidential information about the other in the course of an engagement. Each of us agrees to use the other's confidential information only to perform or receive the services, to protect it with reasonable care, and not to disclose it to anyone else except to people who need it for that purpose and are under equivalent obligations.
This does not apply to information that is already public, that the receiving party already held without a duty of confidence, or that the law or a competent authority requires to be disclosed.
10. Fees, invoices, and taxes
Fees, the billing cycle, and payment terms are set out in the proposal, statement of work, or order you accept. Unless that document says otherwise, fees are exclusive of applicable taxes, which are charged in addition at the prevailing rate.
We may suspend services on an engagement where an undisputed invoice remains unpaid after we have told you and given you a reasonable opportunity to pay.
11. Third-party services
Our services integrate with services other companies operate. Authentix can import a recipient roster from a Google Sheets spreadsheet you choose, and it can deliver certificates by email.
Your use of a third-party service is governed by that company's own terms and privacy policy, and we are not responsible for how it operates or for changes it makes. Where you connect a third-party account to our services, you confirm you are entitled to connect it. You can disconnect it at any time.
What Authentix accesses when you connect a Google account, and what it does not, is set out in our Privacy Policy
12. Privacy and personal data
How we collect, use, share, and protect personal data is set out in our Privacy Policy
Where we process personal data on your behalf as part of an engagement, we do so on your instructions and in line with applicable Indian law, which today means the Information Technology Act 2000 and the SPDI Rules 2011 made under it, and the Digital Personal Data Protection Act 2023 once its provisions commence.
13. Availability and changes
We work to keep the services available and reliable, but we do not promise that they will be uninterrupted or error-free. We may need to suspend access for maintenance, and we will give notice of planned maintenance where we reasonably can.
We may add, change, or withdraw features. Where a change would materially reduce a capability you rely on under a current engagement, we will tell you before it takes effect.
14. Disclaimers
To the fullest extent the law permits, the website and the services are provided "as is" and "as available", and we exclude all warranties, conditions, and representations that are not expressly stated in these Terms or in a signed engagement document.
In particular, we do not warrant that a certificate produced through Authentix will satisfy the requirements of any particular regulator, accreditation body, university, or employer. Deciding what a certificate must contain, and whether it is recognised, is yours.
Information on this website is general and is not legal, financial, tax, or professional advice. Advice is given only under an engagement, in writing, and for the circumstances it addresses.
15. Limitation of liability
To the fullest extent the law permits, neither party is liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, business interruption, or any indirect or consequential loss, however it arises.
To the fullest extent the law permits, our total liability arising out of or in connection with an engagement or your use of the services is limited to the fees you paid us for that engagement in the twelve months before the event giving rise to the claim.
Nothing in these Terms excludes or limits a liability that cannot be excluded or limited under the law applying to us, including liability for fraud or for death or personal injury caused by negligence.
16. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these Terms, from your use of the services in breach of applicable law, or from a third-party claim that the content or data you gave us infringes its rights or was provided without the consent it required.
17. Suspension and termination
Either of us may end an engagement as the proposal or statement of work for it provides. We may suspend or end your access to a service immediately where you breach these Terms materially, where the law requires it, or where continued access presents a security risk to other customers.
On termination, your right to use the services stops, fees accrued up to that point remain payable, and the sections of these Terms that are intended to survive termination continue to apply. You may ask us to export or delete your data, and we will do so within a reasonable period, subject to any record-keeping the law requires of us.
18. Changes to these terms
We may update these Terms as our services and the law change. The date at the top of this page shows when they were last updated.
Where a change is material, we will give notice through the website or by contacting you directly. Continuing to use the website or the services after a change takes effect means you accept the updated Terms.
19. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of India.
The competent courts in India have exclusive jurisdiction over any such dispute. Before starting proceedings, each of us agrees to raise the issue with the other in writing and to try in good faith to resolve it.
